Italian Shoe Factory (ISF) L.L.C invites you to read these Terms and Conditions of Service carefully to fully understand ISF’s Website and utilise ISF’s Services. By using ISF’s Website and Services, you accept the following Terms and Conditions of Service. Therefore, ISF advises you to refrain from using ISF’s Website and Services if at any point you think these Terms and Conditions of Service cannot be accepted from your side. ISF’s Terms and Conditions of Service applies to the Services provided through ISF’s Website, mobile applications, or software provided by ISF. ISF may revise these Terms and Conditions of Service at any time without notice to you. INFORMATION ABOUT US

Italian Shoe Factory (ISF) is the leading platform for offering design and development, prototyping and production services of top quality Italian footwear and accessories for brands, designers and retailers globally. ISF also provides an online wholesale store for shoes and accessories that can be purchased through the wholesale section of our website.  In addition, private label consultation services as well as educational materials for shoe designers is available for those who want to venture into footwear and start a shoe business

DEFINITIONS

Unless otherwise indicated in these Terms and Conditions of Services, the following definitions shall apply:

  • “ISF” and/or “Company” means Italian Shoe Factory LLC, a limited liability company registered in Dubai, UAE, with Registration Number 300936 and our head office is located at Alserkal Avenue, Unit 9, 8 B Street, Al Quoz 1, P.O.Box 26560, Dubai, United Arab Emirates.
  • “Client” means any person or company wishing to place an order with ISF or requesting any of the other Services offered by ISF;
  • “User” means an account created via the ISF Website. ISF reserves the right to approve or reject a user account or revoke an account that was previously approved, without prior notice.

ACCESSING OUR WEBSITE

ISF will make any possible effort to limit any downtime, however ISF reserves the right to withdraw or amend the Services provided on the Website without notice. ISF will not be liable if for any reason the Website is unavailable at any time or for any period.

OUR WEBSITE CHANGES REGULARLY

ISF aims to update the Website regularly, and may change the content at any time. If the need arises, ISF may suspend access to the Website, or close it indefinitely. Any of the material on the Website (including education materials, courses, products on wholesale and retail store etc.) may be out of date at any given time, and ISF is under no obligation to update such material.

OUR INTELLECTUAL PROPERTY RIGHTS

ISF owns all the licensees of all the material published on the ISF Web site, including designs, styles, images, graphics, logos, educational materials, courses, etc. There are protected by international copyright laws and treaties around the world. All such rights are reserved.

All the information and quotations you receive from ISF Services are for your personal reference and you may draw the attention of others within your organisation to material posted on ISF Website and received from ISF .

You must not distribute this information outside your organisation, without ISF’s written authorization. You must not use any part of the materials on ISF’s Website for commercial purposes without obtaining ISF’s written authorization.

You must not use any part of the material on ISF’s Website to produce copies.

YOUR INTELLECTUAL PROPERTY RIGHTS

In accordance with ISF’s Privacy Policy, any information or technology shared by the Client and necessary to enable ISF to deliver the Services (e.g. run consultancy sessions, design collections, manufacture the Goods etc.) will be taken under ISF’s custody and not shared with third Parties except ISF’s partners that may be required for delivering the Services.

FEES

Access to the Italian Shoe Factory’s Website is free of charge, except for the sections related to educational courses, products on wholesale and retail store and any membership options. In this case, access is charged according to the course or product cost specified on the website. Prices may change at any time as per ISF’s requirements.

INFORMATION ABOUT YOU AND YOUR VISIT TO OUR WEBSITE

ISF processes information about you in accordance with our Privacy Policy. By using the Website, you consent to such processing and you warrant that all data provided by you is accurate.

TERMS OF SERVICES FOR ITEMS TO BE REPAIRED BY US

Pick-up & delivery of items to be repaired may currently only apply to addresses within the Emirate of Dubai. The pick-up & delivery methods which are currently available are set out below. However, we constantly strive to improve customer experience and may introduce additional methods across our shopping channels. Please check back frequently to see if more options have become available.

Pick-up & Deliveries take place between 9am-6pm, from Saturday to Thursday.

The pick-up and delivery options follow a “scheduled 4 hours” pattern, eg you can book a pick-up from the following slots: 9am-12pm, 9am-1pm, etc until 2pm-6pm.

You can book a pick-up on our Website or by calling our Customer Care Center. Pick-ups will be scheduled only after your order is successfully placed and the payment authorized.

Pick-up booking options:

– Same day as the Order date

– Or on a different scheduled day, providing that bookings are open up to 30 days from the Order date.

Delivery booking options:

– Same day as your item Ready date

– Or on a different scheduled day, providing that bookings are open up to 30 days from the item Ready date.

Pick-up & Delivery fees:

For Orders below AED150 AED60
For Orders of AED150 and above FREE

However if you cancel your Order after your items have been picked-up, and you had paid for a pick-up & delivery fee, this fee will not be refunded.

And if you cancel your Order after your items have been picked-up, and you had not paid for a pick-up & delivery fee, a cancellation fee of AED60 will be applied and deducted from the refund amount of your Order.

It is your responsibility to ensure that the item(s) is/are available for collection/return at the time and on the date agreed. If our courier is unable to collect/return an item because there is no one available at the agreed time and collection/return address, or you have provided an incorrect or incomplete collection/return address, we reserve the right to charge an additional AED30 for any repeat collection/return trip.

The usual lead time of performing the repair/restoration services selected in your Order is indicated on our website by the time you confirm the selection of the service. If you select several services for the same item, the final lead time regrouping all services performed will be indicated. The lead time indicated has been set up given the reasonable time required to perform a quality job. Therefore it cannot be reduced.

The Company might need to contact you for clarification or approval on a service to be performed. The Company will not be held responsible of any delay in the service lead time if you can’t be reached and are not replying to emails.

We usually perform the services within the lead time communicated on our Website, however delays can happen and we will not be held responsible in such occasion. In case of delay you will be notified over the phone and by email.

Any changes in the Order requested after the item(s) is(are) picked up and tax invoice is issued must be confirmed in writing. The Company reserves the right to accept or not the changes depending on the status of the former Order booked.

The Company is not liable for any stains, scratches or colour loss that were inherent to the item(s) upon reception in our premises, or that will be detected after the delivery of the item(s).

The Company is providing repair and restoration services with the highest level of care and expertise. However it cannot predict how the leather/ suede/ fabric will react to professional cleaning or dyeing and the final result will depend on the initial condition of the item. There is no guarantee that all the stains will disappear nor that the dyeing will be totally even. For the same reason, we cannot guarantee to match the exact same colour of your choice when we provide recolouring services, but we will ensure to go to the closest match.

We facilitate on your behalf, the transport of your items to/from your location, to/from our workshop. While we carefully select and monitor our logistic partners, while the item is in transit, you are bound by the T&Cs of our logistic partners.

Please check all items and parcels sent to us for valuables including money, jewellery, dust bags or anything else of value you may not want to lose. Do not send these. If we find any valuables, we will endeavour to return them to you, but we are not liable for the loss of any such articles.

An agreement between you and the Italian Shoe Factory L.L.C for us to restore an item on your behalf comes into existence at the moment an item is received by us, such agreement being governed by these terms to the exclusion of all other terms, conditions and representations, whether written or oral. By sending an item to us you are confirming:  You are the rightful owner of the item in question and you have full authority to restore the item without anyone else’s permission (or that you have obtained any necessary permissions). You will maintain ownership of the items throughout the process.

We reserve the right to leave parcels with doorman, building, hotel or office concierge or other authorised people. We won’t assume any responsibility for any items lost or damaged while in their care.

On occasion, our partners may refuse to deliver your order if they are of the opinion that the shipping address or the accepting party presents a risk to either their person, their equipment or to the item being returned.

If delivery is delayed by any event outside of our control, we will contact you as soon as possible to let you know and will take steps to minimise the impact of the delay. However, we are not liable for delays caused by external and unforeseen events.

In the unlikely event that an item becomes damaged whilst in our care, the liability of the item shall not exceed 10 times the repair cost, and cannot exceed AED1,500 regardless of brand or condition unless previously agreed in writing between both parties. If you are unhappy with any part of the completed work, you have 48 hours from return to contact us. We will investigate any complaint promptly.

Uncollected items:

Serviced items have to be collected within a period of maximum 3 months from the item Ready date. The Company will not be held responsible for these items after the aforementioned period of time.

Additionally, the Company reserves the right to start charging for storage fees for uncollected items for 3 months and above. Our storage rates are AED100 per item per month which equates to AED3.28 per item per day.

We will make attempts to contact you via calls and emails. If repeated attempts to do so have been unsuccessful, then we reserve the right to dispose of the items without being held liable or responsible.

By using our services and therein accepting these terms, the customer forfeits his right to claim the product and or damages after the stipulated 90-day notice period. No refund on the service or value of the product will be made after the stipulated 90-day notice period.

TERMS OF SERVICES FOR PROTOTYPE DEVELOPMENT 

  1. Design to be finalized and confirmed when the project begins by client. If there is any minor change in the design during the shoemaking process, it can add up to 2 week to the estimated delivery date. Major changes can add upto 4 weeks or more and there may be additional costs involved.
  2. Heel, toe shape and sample size to be finalised initially along with reference picture/sample of the shape. Last development will start upon the confirmation of these details or on receiving of the original sample. For boots, client must provide measurements of the shaft or send a reference sample to duplicate measurements.
  3. Any modifications from the initial tech pack that might result in changing the shoe last will have an additional cost.
  4. If a shoe requires multiple mock-ups, each mock-up will take up to a week and will add into the delivery time. Mock-up is made with scrap materials to visualize the final product.
  5. Only after finalising all details the final sample will come into development stage.
  6. All development time estimates are subject to approvals from the client side.                                                                                                                         
  7. Handmade or pre-moulded out sole available in market will be procured for prototyping.
  8. Any type of custom logo other than stamping logo on socks of the shoe, labels, jewellery, or accessories to be provided by client.
  9. All timelines are tentative and may change due to lock downs or force majeure.
  10. All Materials and soles are subject to availability and generic. Any special material to be used in prototype as per client’s specifications must be supplied by client.
  11. Working hours are from 9 AM to 5:30 PM GMT+4 hrs / EST + 8 hrs from Saturday – Thursday. All correspondence will be held between this period, there may be delays in response due to national holidays or Friday weekends.
  12. All items and services provided by Italian Shoe Factory LLC are Non – Refundable and Ex-Factory.
  13. Full/Partial payment is considered as confirmation of order.
  14. All prototypes are handmade and cannot be perfect in all aspects in comparison to commercial product. Any minor colour variation or defects on leather are natural and must be acceptable. Always there will be room for improvement after the prototype until commercial production.
  15. The prototype sample will be of standard size & fit. Please do not expect them to fit on your feet because standard sizes of different brands differ. If you need the size and fit must be as per your preferred brand of shoes, you must send us that one odd shoe by courier before we start shoe last development.
  16. Any accessories, stamping blocks , shoe lasts, sole or accessories metal mould created for you or any shoe samples sent by you will be kept for 6 months after dispatch of the prototype samples.
  17. Any Shoe Lasts developed for the project is a property of Italian Shoe Factory L.L.C and would not be given to client after project completion. All branding logos and logo stamping dies can be returned to client if requested within 6 months of project completion.

 

USER ACCOUNT

A User Account is created when the User purchases one of the ISF’s Services available on the Website or when someone subscribes to certain marterials.

ISF reserves the right to approve or reject a user account or revoke an account that was previously approved, without prior notice.

ISF services are not available to minors of 18 years old.

VIRUSES, HACKING AND OTHER OFFENCES

You must not misuse ISF’s Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to ISF’s Website, the server on which our site is stored or any server, computer or database connected to our site. You must not attack ISF’s Website via a denial-of-service attack or a distributed denial-of service attack.

By breaching this provision, you would commit a criminal offence under the Computer Crimes Ordinance published by the Government of UAE.

ISF will report any such breach to the relevant law enforcement authorities and ISF will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Website will cease immediately.

ISF will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.

LINKS FROM OUR WEBSITE

Where ISF’s Website contains links to other sites and resources provided by third parties, these links are provided for your information only. ISF has no control over the contents of those Websites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them. When accessing a site via ISF’s Website we advise you check their terms of use and privacy policies to ensure compliance and determine how they may use your information.

OUR LIMITATION OF LIABILITY

The products displayed on ISF’s Website are documented with the best accuracy possible (high-definition of pictures, accuracy of the technical details, lead times, prices etc.). However, it is not guaranteed to be error-free. If you have any doubt or clarification request, ISF recommends you to use the Contact Us page to get in touch with our team.

ISF shall not be liable for any loss, loss of profit, damage, costs, expenses or other claims in any amount outstanding the payments made by the Client. The completion dates are estimates, and ISF shall not be deemed to be in any breach, or otherwise liable to the Client, for delays in manufacturing or delivery.

CHANGES IN FAQS

The FAQ page provides general guidelines on MOQ (Minimum Order Quantity), Lead Times, Product Pricing, Packaging, etc. These numbers are to be considered estimations and may be subject to change once an ISF Sales Representatives learns more about the Client’s project. Only then ISF can provide a more accurate quotation. ISF reserves the right to change the figures contained in the FAQ page at any time and without prior notice.

REFUND AND RETURN POLICY

The Services that can be purchased on the ISF Website are non-refundable and the payment for the whole amount of the transaction is required upfront.

Notwithstanding anything to the contrary in this contract, ISF shall not be liable to the Client for any loss of profit or any indirect, special or consequential loss or damage, costs, expenses or other claims arising out of or in connection with the delivery of ISF Services, the manufacturing or supply of the Goods, their use or resale by the Client or their use by any customer of the Client, and the total liability of ISF for any loss, damage, costs, expenses or other claims which so arise shall not exceed the price of the Service and Goods in question.

APPLICABLE LAW, COURT OF JURISDICTION

United Arab Emirates law shall apply to the contract. Any dispute, controversy or claim arising out of or relating to this contract, in particular its conclusion, interpretation, performance, breach, termination or invalidity, shall be finally settled by the courts of UAE which will have exclusive jurisdiction.

FORCE MAJEURE

ISF will not be responsible in any manner for any loss or damage occurring as a result of forces beyond its control, including, without limitation, natural catastrophe, war, pestilence, labor dispute, telecommunications disruption, or any other matter, cause or thing which such parties do not directly control.

TRADEMARKS

ISF, Italianshoefactory.com, the Italian Shoe Factory logo, all images and text, and all page headers, custom graphics and button icons are service marks, trademarks and/or trade dress of ISF. All other trademarks, product names and company names or logos cited herein are the property of their respective owners.

IMAGES & ILLUSTRATIONS

Every effort has been made to locate the owners of copyrighted material, or their heirs or assigns, to seek permission to reproduce those images whose copyright does not reside with Italian Shoe Factory LLC. We are grateful to the individuals and institutions who have assisted in this task. Any omissions are entirely unintentional and we would be grateful for any information that would allow us to correct any errors or omissions.
